Isuru Software Licensing Agreement

Isuru software you wish to purchase or have already purchased or now have in your possession shall be governed by the terms, conditions and obligations described herein.

General
The parties to this agreement shall be Isuru International, Inc. (the Licensor) and you (the Licensee), in the capacity of an individual, business or institute, operating singly or collectively for profit or not for profit. This agreement shall become effective upon receiving a copy of the software by you by way of a diskette, compact disk (CD), or any other form of magnetic media or by a direct download or a direct install of the software from a location on the Internet onto your computer.
The laws of the State of Texas in the United States of America shall govern this agreement.

Ownership & Usage
The Licensor shall remain the owner of this software at all times. You, as the Licensee have the right to exclusive use of the software. You can install and use the software in a single computer. If your computer is networked, and if the software you obtained has a limit on the number of network nodes, you agree not to use the software when the number of network nodes exceeds the stated limit unless additional licenses are purchased.
If you purchased multiple licenses, you can install and use the software in the number of computers for which you obtained licenses. If your copy of the software has a time limit for use, you must remove the software from your computer upon expiration of the stated time limit and refrain from reinstalling the software on your computer.

Copying & Redistribution
You can make a copy of the software onto a magnetic media solely for the purpose of backup in the event that the production version installed on your computer is damaged. If you purchased multiple licenses you may place a copy of the software on a central computer for distribution to other computers attached to it. The total number of such distributions cannot exceed the number of licenses you paid for. You cannot distribute or install a copy of the software, pursuant to a multiple license purchase, on a computer owned directly or indirectly by an entity in a country where United States export restrictions apply.
You cannot sell or distribute the software to entities that bear a name other than yours as shown in the software application's Help | About feature. You cannot rent, lease or lend this software product.

Copyright
The software product is protected by copyright laws of the United States, international copyright treaties and other intellectual property laws and treaties. You are not permitted to disassemble, decompile or reverse engineer this software product or any of its components. The copyright provisions apply to documentation, graphics and other gadgets, widgets supplied with the software. You cannot subrogate original ideas and expertise of the Licensor.

Obligations
The Licensor expressly states that this software product is not designed for use in industries of strategic importance, such as, but not limited to, aerospace, medical, scientific, real time communications, nuclear, navigation and similar industries likely to cause severe hazards or damages. Licensee agrees not to place or rely on this software on computers used by such industries.
The Licensor expressly states that the software is designed to function in a specific computer operating system indicated by the Licensee at the time of ordering the software.
The Licensee agrees to notify the Licensor of any functional discrepancies of the software as and when noticed. The Licensor at its discretion will correct such errors notified to the Licensor within 30 days of purchase of the software and post the corrections (patches) to the Licensee by Email or refer the Licensee to a patch already available.
The Licensor may, at various times, send alerts to the Licensee. The Licensee agrees to follow instructions that accompany an alert within three days of receipt of an alert.
If the Licensee obtains from the Licensor a patch or an upgrade version of the software, the Licensor shall apply that update to the existing number of licenses and refrain from using the older copy.
The Licensee agrees to notify the Licensor of any change of address, phone number or Email address, upon change or prior to such change.

Support
During the first 30 days after purchase of the software, the Licensor will provide Email support to the licensee free of charge. Further support shall be by special arrangement between the Licensee and the Licensor.

Liability & Damages
The Licensor, in no event shall be liable for any special, consequential, indirect or similar damages or any loss of profits, loss of data, loss of production or any other loss of any kind as a result of using or not using Licensor's computer software. Any and all liability by the Licensor is explicitly excluded. In no event shall the Licensor's liability exceed the total monetary amount the Licensee paid the Licensor.
